Corporate, ECVC Associate

Job Description:

• Serve as primary ECVC counsel for a squad of VC-backed startup clients from pre-seed to Series B
• Handle board consents, equity grants, hiring/firing, and day-to-day corporate matters
• Draft and review governance documents, SAFEs, convertible notes, and priced-round documents for Delaware C-Corps and PBCs
• Interface with founders daily under a subscription model
• Delegate to and manage paralegals
• Help engineers refine internal tools and workflows

Requirements:

• 2–6 years post-JD experience
• Real ECVC/startup corporate experience in Big Law, in-house, or solo practice
• Breadth across multiple clients and industries
• J.D.
• Active bar admission
• US citizen or Green Card holder
• Comfortable with AI tools
• Excited to build a firm from the ground up
